1．Terms of Reference 定義
Under these rules and regulations the term ‘Exhibitor’ shall include all employees, Servants and agents of any company partnership, firm of individual to whom space has been allocated for the
purposes of exhibiting.
本合同中的“參展商”是指在展覽中分配有展位的，以展示為目的公司及其雇員、服務(wù)人員和任何公司或個人委派的代理商。
The term ‘Exhibition’ hall mean the exhibition referred to on the application and contract form.
本合同中的“展覽”是指在參展申請及參展合同中涉及的展覽。
The term ’Organizers’ shall mean China Bearing Industry Association.
本合同中的“主辦單位”是指中國軸承工業(yè)協(xié)會。
The term ‘Contract’ means the contract for exhibition space at the Exhibition entered into between the Organizers and the Exhibitor which incorporates the rules and regulations.
本合同中的“合同”是指主辦單位與參展商簽定的展位租用合同，合同包括參展商應(yīng)履行的各項規(guī)定和條款。
2. Application for Participation 參展申請
All application for participation shall be made on the prescribed application from. The application form shall be submitted to the Organizers or their authorized representatives. The submission of the form shall deem to be confirmation of participation and acceptance by the Exhibitor of the Terms of Contract. The Organizers shall reserve the right to accept or refuse any application without disclosing to the Exhibitor any reasons thereof.
所有參展申請均應(yīng)按照指定的申請表格填寫。申請表格應(yīng)提交給主辦單位或其授權(quán)代表。提交申請表格視為確認(rèn)參展和接受本合同中規(guī)定的各項條款。主辦單位保留接受或拒絕申請的權(quán)利并無需向參展商說明原因。
3. Allocation of Exhibition Space 展位的分配
The organizers shall allocate the space in accordance with the nature of exhibits or in any manner they may deem fit. The Organizers shall reserve the right to change the space allocated to the Exhibitor at any time prior to the commencement of the erection of the booth of the Exhibitor should exceptional circumstances demand and, to alter the space to transfer or close entrances as exits to the Exhibition facilities and to undertake other structural alterations as they may deem fit. Such changes shall be at the discretion of the Organizers and the Exhibitor shall have no claim for
compensation as a result of such changes.
主辦單位將根據(jù)參展展品的特性或其他認(rèn)為適宜的方式分配展位。在攤位搭建以前，如遇特殊情況，主辦單位有權(quán)隨時改變分配給參展商的展位，移動展覽設(shè)施，或?qū)⒄桂^入口改為出口，以及進(jìn)行其他結(jié)構(gòu)調(diào)整。主辦單位有權(quán)做出此種調(diào)整，參展商無權(quán)提出索賠。
4. Exhibition Space 展位條件
Shell Scheme including space, carpeting, walls on three sides, fascia boards in Chinese and English, 1 reception table, 1 discussion table, 4 chairs, 4 spotlights, 1 single phase (5A/220V) socket, 1 waste paper basket. Raw space is only space without any decoration.
標(biāo)準(zhǔn)展位包括場地、地毯、三面圍板、中英文楣板、一個咨詢臺、一張洽談桌、四把椅子、四盞射燈、一個單相（5A/220V）電源插座、
一個紙簍。凈地展位只有場地，無其它設(shè)施。
5. Use of Exhibition Space 展位的使用
Exhibitors are entitled to exhibit only the announced products and to man the exhibits only with competent personnel during the opening hours of the Exhibition. The Organizers reserve the rights to refuse admittance to any visitor to the Exhibition or to have access to any stand. Exhibitors are not allowed to sub-let or assign the stand/s allotted to them to other parties either wholly or in part without the written consent of the Organizers. Exhibitors will be liable for any damage to the walls or to any part of the Exhibition hall in which their exhibits are placed and shall not paint or otherwise alter the floors, ceilings, pillars or walls without the prior consent of the Organizers.
參展商只能展示申報的展品。在展會期間，參展商應(yīng)委派有能力的人員管理展品。主辦單位保留拒絕任何參觀者進(jìn)入展會或展場的權(quán)利。未經(jīng)主辦單位的書面同意，參展商不得以任何形式將其展位全部或部分指派、分配或轉(zhuǎn)租給第三方。參展商對展廳墻面或其他部位的損壞要負(fù)責(zé)任。未經(jīng)主辦單位同意，參展商不得更改地面、天花板、展館柱面或墻面。
6. Terms of Payment 付款條件
a. 50% of the charges payable by the Exhibitors under the Contract Form(Unit Cost) to be paid upon signing of the contract form.
參展商在簽定參展合同后，支付合同費用的 50%。
b. The balance shall be paid not later than 90 days prior to the opening date of the exhibition.
剩余款項在開展前90天內(nèi)付清。
c. In case of default of payment of the Exhibitor is entitled to claim interest at a rate of annually 20% for the full balance.
如果參展商拖欠支付費用，欠款部分將按20%的年利率收取利息。
7. Breach of Contract and Withdrawal by Exhibitor 參展商違約及退展
Without prejudice to the rights and remedies of the Organizers in respect of any breach of the Contract on the part of the Exhibitor, the organizers may at their discretion allow the Exhibitor to
withdraw from the Exhibition subject to the following conditions:
由于參展商違約，為了保證不會對主辦單位的利益造成任何損害，主辦單位可依據(jù)下列條件允許參展商退展：
a. the Exhibitor must give written notice to the Organizers that he desires to withdraw and if the organizers allow such withdrawal they will notify the Exhibitor of their decision in writing.
參展商必須書面告知主辦單位其退展的申請，若主辦單位同意參展商退展，要將決定書面通知參展商；
Any payment to the organizers will not be refunded.
參展商已支付給主辦單位的任何費用將不予退還；
c. Should the Exhibitor fail to observe or comply with any of the terms and conditions contained herein or if the Exhibitor shall fail to pay any of the unit costs at the time and in the manner aforesaid, then the organizers may thereupon by written notice given to the Exhibitor rescind the contract.
由于參展商未遵守本合同條款的規(guī)定，或未在上述規(guī)定的期限內(nèi)支付場租費，主辦單位將以書面形式通知參展商解除本合同；
d. Upon the Organizers’ exercising their right to rescind the contract under sub-clause(c) of this clause, they may but are not obliged to relet or otherwise deal with the Exhibition space contracted by the Exhibitor in default on such conditions as the Organizers shall deem fit. In the event the Organizers having elected to but not able to relet the said Exhibition space, the Exhibitor in default shall be liable to pay the entire unit costs to the Organizers as liquidated damages for the loss of rental.
依據(jù)本條款的子條款 c.的規(guī)定，主辦單位可行使其權(quán)力與參展商解除本合同。主辦單位可以轉(zhuǎn)租違約的參展商的展位，但不是必須轉(zhuǎn)租這些展位，或者主辦單位以它認(rèn)為合適的方式來處理這些展位。如果這種情況發(fā)生時，主辦單位決定轉(zhuǎn)租這些展位，但又沒能轉(zhuǎn)租出去，違約的參展商將承擔(dān)所有展位租金的損失。
8. Changes 變更
The Organizers reserve the right to change the venue and duration of the Exhibition if exceptional circumstances so demand. In the event of change of venue and/or duration, the agreement to participate shall remain in force so long as the Exhibitor is informed at least a month before such changes will take place. In the event of a change of venue and/or duration or cancellation of the Exhibition, the Exhibitors shall not be entitled to any claim for compensation in connection with their reservation for participation.
如遇意外情況，主辦單位保留變更展會地點和展會時間的權(quán)力。如果展會地點和/或展會時間發(fā)生變更，只要在變更前一個月通知參展商則原參展協(xié)議仍然有效。如果展會地點和/或展會時間發(fā)生變更或展會取消，參展商無權(quán)就所預(yù)訂的展位進(jìn)行索賠。
9. Construction and Decoration of Stand 攤位的搭建和裝修
Exhibitors will be allowed to decorate their unit as per schedule in Exhibitor’s manual. Any damages caused by the exhibitor or his/its contractors to other Exhibitors or common property shall be the responsibility of the Exhibitor. All Exhibitors must complete their construction and decoration by the date and time stipulated by the Organizers.
根據(jù)參展商手冊，參展商可以對其展位進(jìn)行裝飾。任何由參展商或其搭建商造成的對其他參展商或公共財?shù)膿p害，參展商須承擔(dān)全部責(zé)任。所有參展商必須在主辦單位規(guī)定的日期和時間之前完成搭建和裝修。
10. Movement of Exhibits 展品的運輸
a. Exhibitors shall bear the responsibility and expenses for the transport of exhibits to the Exhibition venue.
參展商負(fù)責(zé)將展品運至展會地點并承擔(dān)運費。
b. Exhibitors shall make their own arrangement for storage and warehousing of their exhibits.
參展商負(fù)責(zé)安排排展品的堆放和存儲。
c. Exhibitors shall remove all exhibits from the Exhibition hall within the period stipulated by the Organizers and shall indemnify the Organizers against any loss by reason of the delay of damage to the Exhibition hall.
參展商應(yīng)在主辦單位規(guī)定的期限內(nèi)將展品從展覽館全部運走，否則由于延誤造成的損失需向主辦單位做出賠償。
11. Failure of Services 展會取消
The organizers shall not be liable for any loss sustained by the Exhibitor directly or indirectly attributable to the cancellation, suspension or reduction of duration of the scheduled Exhibition from the period advertised or specified due to:
由于下列直接或間接的原因，致使展會被取消、暫?；蚩s短展期，從而給參展商帶來損失，主辦單位將不對參展商承擔(dān)責(zé)任：
a. Force majeure. 不可抗力；
b. Acts of war, military activity, and municipal statutory or civil authority requisition.
戰(zhàn)爭行為、軍事活動、地方性法規(guī)或民政部門的要求；
c. Fire, flood, typhoon, excessively inclement of weather, earthquake or a combination of the same.
火災(zāi)、水災(zāi)、臺風(fēng)、極端的惡劣天氣、地震或這些自然災(zāi)害同時發(fā)生時；
d. Damage caused by an aerial object or aircraft. 由于飛行物體或飛機(jī)造成的損失；
e. Strikes or lockouts by workmen. 工人的罷工或停工；
If the Exhibition is cancelled, reduced, or postponed, then the unit costs or any part thereof paid to the Organizers may be refunded at the sole discretion of the organizers, but without prejudice to the organizers’ right to appropriate the entire sum or any part thereof for expenses they have already incurred for the Exhibition.
如果展會被取消、縮短展期或推遲舉辦，在不損害主辦單位利益或不影響已發(fā)生的費用的前提下，主辦單位有權(quán)決定向參展商退還已支付的全部或部分費用。
12. Security 安全
The Organizers shall take all security precautions in the interest of the Exhibitors and visitors. However, the Organizers shall not be held responsible for any loss or theft of exhibits at the Exhibition hall during the build-up, exhibition and dismantling period. The Organizers shall also not be held responsible for any loss or damage to exhibits or any articles belonging to the Exhibitors.
主辦單位將對參展商和參觀者采取安全預(yù)防措施，但是對于展會之前、展會期間和之后展品的丟失或被竊不承擔(dān)任何責(zé)任。主辦單位對參展商的展品或其他物品的損失或損壞也不承擔(dān)任何責(zé)任。
13. Fire Regulations防火規(guī)則
All Materials used in stands and exhibition constructions must be properly fire proofed in accordance with local regulations. Fire marshals will patrol the Exhibition facilities and will be authorized to stop any demonstrations that are potential fire hazards.
所有用于搭建展臺和展位的材料必須符合當(dāng)?shù)胤ㄒ?guī)的要求采用耐火材料。消防隊長將巡視所有展覽設(shè)施，并有權(quán)制止任何潛在的可引起火災(zāi)的行為。
14. Insurance, liability and Risks 保險、責(zé)任和風(fēng)險
All exhibitors shall insure, indemnify and hold the Organizers and the venue owners harmless in respect of all costs, claims, demands and expenses to which they may be subject as a result of loss of or injury arising to any persons howsoever caused while the said persons are upon or examining or passing the Exhibition stands, during the tenancy of the Exhibition. The liability of risks of the
employees, agents or exhibits shall be the responsibilities of the Exhibitors.
在展會期間，為保證主辦單位和展館的展覽成本、各種聲明、需求和支出費用不受到損害,無論何種原因, 所有參展商都要繳納保險,對檢查展位或經(jīng)過展位的人員對主辦單位和展館造成損失或傷害,進(jìn)行賠償。參展商應(yīng)對其工作人員、代理人或展品的風(fēng)險承擔(dān)責(zé)任。
15. Supplementary Clauses補充條款
Whenever necessary, the Organizers shall have the right to issue supplementary regulations in addition to those in the Terms of Contract to ensure the smooth management of the Exhibition, Any additional written regulations and/or instructions shall form part of these Terms of Contract and they shall be binding on the Exhibitors.
如必要，主辦單位為確保展會的順利進(jìn)行，有權(quán)制定補充規(guī)定作為本合同條款的補充。任何補充規(guī)定和/或條例都視同本合同的一部分，并對參展商具有約束力。
The failure to object to any breach of any clause herein by the Organizers shall not constitute agreement to modification of this agreement or a waiver of any subsequent breach of such clause.
若參展商對此合同的各項條款沒有異議，主辦單位將不再修訂本合同；或者說當(dāng)參展商違背了本合同的條款規(guī)定，將視同自動放棄本合同。
The construction of the terms of Contract herein will be governed by the laws of China
本合同條款適用于中華人民共和國法律。
